1. Agreement to Terms

By accessing or using Partitura ("Service", "Platform"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service. If you have any questions or concerns about these terms, please contact us.

2. Description of Service

Partitura is a multi-agent AI orchestration platform that allows users to coordinate and manage AI agents from various providers. The Service provides tools for autonomous development, code generation, and AI-powered workflows. The Service is provided "as is" and "as available" without any warranties of any kind, express or implied.

3. User Accounts

3.1 Account Creation: You may create an account using OAuth authentication (GitHub, Apple, Discord, Google and other OAuth compatible providers). You are responsible for maintaining the security of your account credentials, as they are not stored by us, but by the OAuth provider you use.

3.2 Account Responsibilities: You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Termination: We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion.

4. Subscription and Payments

4.1 Free Tier: We offer a free tier with limited features. Free tier usage is subject to fair use policies. Content generated by the free tier remains your property, you have every ownership right over it.

4.2 Paid Plans: Paid subscriptions are billed monthly. Payments are processed securely through Stripe.

4.3 Refunds: Refunds are handled on a case-by-case basis. Contact support for refund requests within 7 days of purchase.

4.4 Credits: Credits purchased are non-refundable and do not expire. Unused credits do not roll over unless specified in your plan. Credits are not transferable to other users or accounts.

5. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service for cryptocurrency mining or similar resource-intensive operations
  • Generate or distribute spam, phishing attempts, or malicious content
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or redistribute the Service without explicit permission

6. AI-Generated Content

6.1 Ownership: You retain ownership of content you create using the Service, including code, assets, images and any other files generated by the AI agents. You, the user, are the owner and rights holder of anything you create using the Service as a medium. Partitura has no claim over any content you create.

6.2 Responsibility: You are solely responsible for reviewing, testing, and validating all AI-generated code before deployment. We do not guarantee the accuracy, security, or functionality of AI-generated content.

6.3 Third-Party AI Models: The Service integrates with third-party AI providers. Use of their models is subject to their respective terms of service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which can be found here: Privacy Policy. We collect and process data as described in the Privacy Policy. By using the Service, you agree to the collection, use, and disclosure of your information as described in the Privacy Policy.

8. Service Availability

8.1 Uptime: We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or factors beyond our control. We do not guarantee the availability of the Service 100% of the time, and we are not responsible for any downtime or loss of data.

8.2 Changes: We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will notify you of any material changes by posting the new terms on this page and updating the "Last Updated" date.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTITURA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE; (D) ANY ERRORS OR OMISSIONS IN CONTENT; OR (E) ANY AI-GENERATED CODE OR CONTENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless Partitura, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of misuse of the Service, your violation of these Terms, or your violation of any rights of another.

11. Intellectual Property

11.1 Our IP: The Service, including its original content, features, and functionality, is owned by Gabriel Ferreira Angelo, the founder and owner of Partitura, and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

11.2 Your IP: You retain all rights to content you create using the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. We are not responsible for any data loss or damage caused by the termination of your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Partitura operates, without regard to its conflict of law provisions. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
